Terms of Service

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. By creating an account you represent that you meet this requirement and that the information you provide is accurate and complete.

If you create an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

• You are responsible for safeguarding your sign-in credentials and for everything that happens under your account.
• Notify us promptly at support@simplyrsvp.io if you suspect unauthorized access.
• You may invite additional people to help manage your event (admins). You are responsible for the actions of any admin you invite.

SimplyRSVP lets you create one or more event microsites (an “Event”) and configure features such as:

• Hero, design, palette, and content settings;
• Guest lists with invitations sent via WhatsApp, email, or a copyable link;
• RSVP collection, menu selection, registry items and contributions, dress-code inspiration, and a seating chart;
• A QR code that links to your Event site for use on physical invitations.

Features may change over time. We may add, remove, or modify features at any time, and we may impose reasonable usage limits to keep the Service stable and fair.

When you upload contact details to your guest list, send invitations, or otherwise process information about your guests through the Service, youare the “data controller” for that information. You represent and warrant that:

• You have an appropriate basis (such as a personal relationship or consent) to upload each guest's contact details and to message them about your Event.
• You will respond to guest requests to access, correct, or delete their data, and will use the Service's tools to action those requests.
• You will not use the Service to send unsolicited bulk messages, marketing communications, or anything that would violate WhatsApp's, Twilio's, or your local jurisdiction's rules on commercial messaging.
• You will keep your guest list, registry items, and event content accurate and up to date.

We act as your data processor for guest information — see the Privacy Policy for details.

You agree not to:

• Use the Service to host illegal, harassing, defamatory, sexually explicit, or hateful content;
• Impersonate another person or misrepresent your affiliation with a person or organization;
• Upload viruses, malware, or any content that could harm the Service or its users;
• Attempt to gain unauthorized access to another organization, account, or any non-public area of the Service;
• Interfere with or disrupt the Service, including by reverse-engineering, scraping at scale, or bypassing rate limits and security measures;
• Use the Service to send spam, phishing messages, or content that violates third-party rights;
• Resell, sublicense, or expose the Service's features to third parties as a paid service without our written permission.

We may suspend or terminate accounts that violate these rules, with or without notice.

You retain all rights to the content you upload to the Service (your event copy, images, guest list, registry items, etc.). You grant SimplyRSVP a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and back up that content for the sole purpose of providing the Service to you and your guests.

You are solely responsible for the content you upload. We may remove or disable access to content that, in our reasonable judgment, violates these Terms or applicable law.

The Service depends on third-party providers, including Convex, Google, Resend, Twilio, Cloudflare, and Sentry. By using SimplyRSVP, you also agree to the applicable terms of those providers as they pertain to the Service. We are not responsible for outages or behavior of third-party services we do not control. The Service may include links to other websites (for example, an Amazon registry link); we're not responsible for those sites' content or practices.

SimplyRSVP may offer some features at no cost and others as paid features in the future. If a feature requires payment, the price and billing terms will be presented to you before you purchase. By starting a paid subscription you authorize us (and our payment processor) to charge the payment method you provide on the schedule shown at checkout. Fees are non-refundable except where required by law.

You may stop using the Service at any time and delete your account from the Account page. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if you violate these Terms, if we're required to do so by law, or if we decide to discontinue the Service.

When your account is deleted, your Events and associated guest data are deleted in line with our retention schedule.

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that any specific message, invitation, or RSVP will be delivered to a specific recipient at a specific time. Network operators, mobile carriers, email providers, and recipients' spam filters are outside our control.

To the maximum extent permitted by law, SimplyRSVP and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amounts you paid us for the Service in the twelve months preceding the claim, or (b) one hundred United States dollars (USD 100). Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so the above may not apply to you in full.

You agree to defend, indemnify, and hold harmless SimplyRSVP from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your guest list, or your breach of these Terms.

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. If the changes are material, we will let you know by email or in-app notice. Your continued use of the Service after the changes take effect means you accept the revised Terms.

These Terms are governed by the laws of the Republic of Trinidad and Tobago, without regard to its conflict-of-laws rules. You and SimplyRSVP agree that any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the courts located in Port of Spain, Trinidad and Tobago, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

• Entire agreement. These Terms (together with the Privacy Policy) are the entire agreement between you and SimplyRSVP regarding the Service.
• Severability. If any provision is held unenforceable, the rest will remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
